5. Payment Terms

5.1 Pricing and Fees

All prices displayed on our Website and in our physical locations are in United States Dollars (USD) and are subject to change without prior notice. Prices listed do not include applicable sales taxes, delivery fees, service charges, or gratuity unless expressly stated otherwise.

5.2 Payment Methods

We accept major credit cards, debit cards, and other payment methods as indicated at the point of sale or checkout. By providing payment information, you represent and warrant that you are authorized to use the designated payment method and that you authorize Costa Vida to charge your payment method for all applicable fees.

5.3 Order Confirmation and Processing

Receipt of an order confirmation does not constitute acceptance of your order. Costa Vida reserves the right to cancel or refuse any order at any time for reasons including, but not limited to, unavailability of items, inaccuracies in pricing or product descriptions, or suspected fraudulent activity. IN NO EVENT SHALL COSTA VIDA'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO COSTA VIDA IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00).

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by applicable law.

You agree to defend, indemnify, and hold harmless Costa Vida and its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

Subject to the arbitration provisions set forth in Section 11 below, you agree that any legal action or proceeding arising under or related to these Terms shall be subject to the exclusive jurisdiction of the federal and state courts located in the United States. You hereby irrevocably consent to personal jurisdiction and venue in such courts and waive any objection based on improper venue or inconvenient forum.

  • Applicable federal food safety regulations administered by the U.S. Food and Drug Administration (FDA) and U.S. Department of Agriculture (USDA);

11. Dispute Resolution

11.1 Informal Resolution

In the event of any dispute, claim, or controversy between you and Costa Vida arising out of or relating to these Terms or the Services ("Dispute"), both parties agree to first attempt to resolve the Dispute informally. You agree to contact Costa Vida at [email protected] and provide written notice describing the nature of the Dispute and your proposed resolution. Costa Vida will have thirty (30) days from receipt of such notice to respond and attempt to resolve the Dispute informally.

11.2 Binding Arbitration

If the parties are unable to resolve a Dispute informally within thirty (30) days, either party may elect to resolve the Dispute through binding individual arbitration. The arbitration shall be conducted in accordance with the rules of the American Arbitration Association (AAA), as then in effect, and shall be governed by the Federal Arbitration Act (9 U.S.C. § 1 et seq.).

The arbitrator shall have the authority to award any remedy that would be available in a court of law, but the arbitrator shall not have the authority to conduct class arbitration or consolidate claims. The arbitration award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

11.3 Class Action Waiver

Notwithstanding the above, either party may seek emergency injunctive or equitable relief from a court of competent jurisdiction to prevent irreparable harm pending the outcome of arbitration. Additionally, claims involving intellectual property rights may be brought in a court of competent jurisdiction.

11.5 Time Limitation on Claims

ANY CAUSE OF ACTION OR CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES. OTHERWISE, SUCH CAUSE OF ACTION OR CLAIM IS PERMANENTLY BARRED.

12. Term and Termination
